Welcome to Villages Helper. These Terms of Service ("Terms") govern your access to and use of the Villages Helper website, mobile application, and related services (collectively, the "Platform"). By creating an account, posting a job, submitting a quote, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. The Platform Is a Marketplace Only

Villages Helper is a technology platform that connects customers ("Customers") with independent contractors and service providers ("Contractors"). Villages Helper is not a party to any agreement between Customers and Contractors. We do not provide any services ourselves, and we are not a contractor, broker, employer, or agent of any user.

2. Independent Contractor Disclaimer

All Contractors using the Platform are independent third parties. They are not employees, agents, partners, or representatives of Villages Helper. Villages Helper does not employ, supervise, direct, control, train, or manage any Contractor. Villages Helper does not endorse, recommend, warrant, or guarantee any Contractor, their qualifications, their work, their pricing, or their conduct. Any recommendations, ratings, or rankings displayed on the Platform are provided for convenience only and do not constitute an endorsement.

3. Contractor Licensing and Insurance

Contractors are solely responsible for obtaining and maintaining all licenses, permits, registrations, certifications, bonds, and insurance coverage required by applicable federal, state, and local law. Villages Helper does not verify, confirm, or guarantee the licensing status, insurance coverage, or qualifications of any Contractor. Customers are responsible for independently confirming that a Contractor holds appropriate licensing and insurance before engaging their services.

4. User Responsibilities

By using the Platform, you agree that:

  • You will provide accurate, current, and complete information.
  • Customers are solely responsible for evaluating, selecting, vetting, and contracting with Contractors.
  • Contractors are solely responsible for the quality, safety, legality, and timeliness of the services they provide.
  • You will comply with all applicable laws, regulations, and these Terms.
  • You are responsible for all activity that occurs under your account.
  • You will not use the Platform for any fraudulent, unlawful, or harmful purpose.

5. No Warranty

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Villages Helper does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any services arranged through the Platform will meet your expectations or be performed in a workmanlike manner.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLAGES HELPER AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. Villages Helper is not responsible for disputes, damages, losses, injuries, workmanship issues, missed appointments, payment disputes, property damage, theft, personal injury, or any claims arising from or related to services performed by independent Contractors or the conduct of any user. In no event shall Villages Helper's total aggregate liability exceed the greater of (a) the total amount of subscription fees you paid to Villages Helper in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

7. Indemnification

You agree to indemnify, defend, and hold harmless Villages Helper and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or any services provided or received through the Platform.

8. Payment and Subscription Terms

Certain features of the Platform, including Contractor listings, require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew unless canceled before the end of the current billing period. Except where required by law, subscription fees are non-refundable. We may change our fees upon reasonable notice. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

9. Account Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including violation of these Terms, fraudulent activity, or conduct that we believe is harmful to other users or the Platform. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform immediately ceases.

10. Dispute Resolution; Mediation and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to non-binding mediation in the State of Florida before resorting to arbitration. If mediation is unsuccessful, the dispute shall be resolved by final and binding arbitration administered in the State of Florida in accordance with the rules of the American Arbitration Association. You agree that any dispute will be resolved on an individual basis and waive any right to participate in a class action. This provision does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Subject to the dispute resolution provisions above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida.

12. Changes to These Terms

We may modify these Terms from time to time. When we make changes, we will update the "Last updated" date above. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
